These Membership Terms and Conditions ("Terms") govern your membership of Digital Directors ANZ ("Digital Directors", "we", "us", "our"). By submitting a membership application or renewing your membership, you agree to be bound by these Terms as updated from time to time.
These Terms should be read in conjunction with our Privacy Policy, Website Terms and Conditions, and any additional terms that apply to specific services or events.
1.1 Digital Directors ANZ is a membership-based organisation that supports board directors and governance professionals in developing and maintaining digital governance capability across Australia and New Zealand.
1.2 Digital Directors is operated as a commercial entity. It is not a registered charity, not-for-profit, company limited by guarantee, incorporated association, or incorporated society. Membership of Digital Directors is a commercial service and does not confer any rights of membership under the Corporations Act 2001 (Cth), the Incorporated Societies Act 2022 (NZ), or any constitution or governing document.
1.3 Membership and membership rights are personal to the member and are not transferable.
2.1 Admittance to membership is subject to Digital Directors' review of your completed membership application, your eligibility, and full payment of the applicable membership fee.
2.2 To be eligible for membership, you must:
(a) be aged 18 years or older;
(b) hold, or have a genuine interest in obtaining, a role involving board-level governance, oversight, or digital leadership;
(c) provide true and correct information in your membership application; and
(d) agree to comply with these Terms and our Member Code of Conduct (if applicable).
2.3 Digital Directors reserves the right to accept or decline any membership application at its sole discretion. We are not required to provide reasons for declining an application.
2.4 We aim to advise you of your application status as soon as practicable after receipt. This process may take up to 14 business days.
2.5 If admitted, your membership period lasts for 12 months from the date of admittance, unless otherwise specified at the time of purchase.
3.1 Digital Directors may offer multiple membership tiers with different benefits, access levels, and fee structures. The benefits and conditions of each tier are described on our website at the time of application or renewal.
3.2 Digital Directors reserves the right to modify membership tiers, benefits, and pricing from time to time. Any changes will take effect at your next renewal date. We will provide reasonable notice of material changes.
3.3 Any membership designation or title associated with your tier (e.g. "Community Member", "Associate Member", "Full Member") is for use only during the period of your active membership. You must not use any Digital Directors designation or title after your membership has lapsed or been terminated.
4.1 Membership fees are payable in advance for the membership period. The fee applicable to your membership tier is as displayed on our website at the time of application or renewal.
4.2 All fees are quoted in Australian dollars and are inclusive of GST where applicable.
4.3 Payment may be made by credit card, debit card, or any other method made available by Digital Directors at the time of purchase.
4.4 If you have authorised direct debit for renewal payments, you agree to our direct debit terms as notified to you at the time of authorisation. You may cancel a direct debit authorisation by notifying us in writing at least 14 days prior to your renewal date.
5.1 Your membership must be renewed every 12 months. We will send a renewal reminder approximately 30 days before your renewal date to your nominated email address.
5.2 Renewal is subject to payment of the applicable membership fee and your continued compliance with these Terms.
5.3 If you do not renew by your renewal date, your membership will lapse and your access to member benefits, resources, and services will be suspended. Digital Directors may, at its discretion, allow a grace period for late renewal, but is not obligated to do so.
6.1 We provide refunds of membership fees only in the following circumstances:
(a) your membership application has been declined; or
(b) exceptional circumstances prevent you from continuing your membership, as determined by Digital Directors in its sole discretion.
6.2 Membership fees are otherwise non-refundable, including where you choose not to use the benefits available to you during your membership period.
6.3 Refund requests must be submitted in writing to enquiries@digitaldirectors.com.au.
7.1 As a member, you agree to:
(a) provide and maintain accurate, current contact and personal details;
(b) conduct yourself professionally and in accordance with any Member Code of Conduct published by Digital Directors;
(c) not misrepresent your membership status, tier, or any designation associated with your membership;
(d) not use the Digital Directors name, logo, or trademarks without prior written permission;
(e) not represent or imply that you or your organisation are sponsored or endorsed by Digital Directors, unless expressly authorised in writing; and
(f) comply with these Terms and all applicable laws.
7.2 You are responsible for ensuring that your nominated contact details are up to date and that you are able to receive communications from us. Digital Directors is not responsible for communications that are not received due to incorrect contact details, spam filters, or other matters outside our control.
8.1 All content, materials, resources, tools, publications, and other intellectual property made available to members through Digital Directors ("Member Content") remain the property of Digital Directors or its licensors.
8.2 Your membership grants you a personal, non-exclusive, non-transferable licence to access and use Member Content for your own professional development and governance purposes.
8.3 You must not copy, reproduce, distribute, republish, sell, or sublicense any Member Content without the prior written consent of Digital Directors.
9.1 Digital Directors may make available to members certain services, workshops, briefings, and other engagements ("Services") that are delivered by independent third-party providers ("Service Partners").
9.2 Where Services are delivered by Service Partners, Digital Directors acts solely as a facilitator of the connection between members and Service Partners. Digital Directors does not deliver, supervise, or control the provision of these Services.
9.3 Digital Directors makes no representations or warranties regarding the quality, suitability, accuracy, or outcomes of any Services provided by Service Partners.
9.4 To the maximum extent permitted by applicable law, Digital Directors accepts no liability for any loss, damage, claim, or expense arising from or in connection with the engagement, delivery, or outcomes of Services provided by a Service Partner. This includes, without limitation, any direct, indirect, consequential, or incidental loss or damage.
9.5 Any engagement with a Service Partner may be subject to that partner's own terms, conditions, and agreements. Members are responsible for satisfying themselves as to the suitability of any Service Partner and reviewing any applicable terms before entering into an engagement.
9.6 Separate terms may apply to specific services and will be made available on the relevant service page of our website.
10.1 Digital Directors will communicate with you about your membership, including application status, renewal reminders, member updates, and information about services and events, via your nominated email address.
10.2 By becoming a member, you consent to receiving these communications. You may opt out of non-essential communications at any time, but you acknowledge that certain membership-related communications (such as renewal notices and changes to these Terms) are necessary for the administration of your membership and cannot be opted out of.
11.1 By submitting a membership application, you acknowledge that you have read and understood our Privacy Policy and consent to the collection, use, and disclosure of your personal information as described in that policy.
11.2 Digital Directors will handle your personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles. Where you are located in New Zealand, Digital Directors will also have regard to its obligations under the Privacy Act 2020 (NZ).
12.1 Your membership will automatically cease if:
(a) you fail to pay any required membership fee within 30 days after the date on which the fee becomes due;
(b) you notify us in writing of your wish to resign your membership; or
(c) you die.
12.2 Digital Directors may suspend or terminate your membership at any time if, in its sole discretion:
(a) you have breached these Terms or any Member Code of Conduct;
(b) you have provided false or misleading information in your membership application;
(c) your conduct is detrimental to the interests or reputation of Digital Directors or its members; or
(d) you are no longer eligible for membership under clause 2.2.
12.2 Digital Directors may suspend or terminate your membership at any time if, in its sole discretion:
(a) you have breached these Terms or any Member Code of Conduct;
(b) you have provided false or misleading information in your membership application;
(c) your conduct is detrimental to the interests or reputation of Digital Directors or its members; or
(d) you are no longer eligible for membership under clause 2.2.
12.3 Where Digital Directors suspends or terminates your membership under clause 12.2, we will provide you with written notice. Digital Directors is not required to provide reasons for its decision, and the decision is final.
12.4 Upon cessation of membership for any reason, you must immediately cease using any Digital Directors designation, title, or branding associated with your membership.
13.1 To the maximum extent permitted by applicable law, Digital Directors excludes all representations, warranties, and conditions relating to membership, Member Content, and any services or resources made available to members, except those that cannot be excluded under applicable law (including the Australian Consumer Law and the New Zealand Consumer Guarantees Act 1993).
13.2 Digital Directors' total liability to you in connection with your membership, whether arising in contract, tort (including negligence), or otherwise, is limited to the amount of the membership fee paid by you for the current membership period.
13.3 Digital Directors is not liable for any indirect, incidental, special, consequential, or punitive damages arising from or in connection with your membership, including loss of profits, revenue, data, or business opportunity.
13.4 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.
14.1 If you have a complaint or dispute regarding your membership, or any aspect of the services provided by Digital Directors, you should contact us at enquiries@digitaldirectors.com.au in the first instance.
14.2 We will acknowledge your complaint within 7 days and consider the matter in good faith. We will endeavour to provide a response within 30 days of receipt.
14.3 Any decision made by Digital Directors in relation to a complaint or dispute, including any decision regarding the continuation, suspension, or termination of your membership, is made at the sole discretion of Digital Directors and is final.
14.4 For the avoidance of doubt, membership of Digital Directors is a commercial service and does not confer any rights of membership under the Corporations Act 2001 (Cth), the Incorporated Societies Act 2022 (NZ), or any constitution. The dispute resolution procedures that apply to members of companies limited by guarantee, incorporated associations, or incorporated societies do not apply to your membership of Digital Directors.
15.1 Amendments: Digital Directors may update these Terms from time to time. The Terms displayed on our website at the time of your application or renewal apply to your membership. We will provide reasonable notice of material changes via your nominated email address.
15.2 Entire agreement: These Terms, together with the Privacy Policy, Website Terms and Conditions, and any applicable service-specific terms, constitute the entire agreement between you and Digital Directors regarding your membership.
15.3 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
15.4 Governing law: These Terms are governed by the laws of Western Australia, Australia. You submit to the non-exclusive jurisdiction of the courts of Western Australia and any courts which may hear appeals from those courts. Members located in New Zealand acknowledge that these Terms are governed by Australian law and agree to submit to the jurisdiction of the Australian courts for disputes arising under these Terms.
15.5 Waiver: A failure or delay by Digital Directors in exercising any right under these Terms does not operate as a waiver of that right.
15.6 Assignment: Digital Directors may assign or transfer its rights and obligations under these Terms without your consent. You may not assign or transfer your membership or any rights under these Terms.
